About ⅓ of our customers are planning to open a new store or brand selling smocked garments. And if you are planning to do the same, congratulations, because at least you have done a good job in finding a potential product line. However, not everyone has enough experience and knowledge to do this. Some of the following shares can be important notes to help you succeed in your fashion brand business.
Basically, these are the top concerns when starting a smocked clothing business:
1. How to establish a legal business entity?
1.1. If you are in the US
Every country, state, and city has different requirements when it comes to setting up your business as a legal entity. You can go to the IRS State Government Sites page to check what requirements are necessary for your specific state (if in the US). If you are in a different country then you will need to use a search term such as “legal requirements for setting up a business in [insert country]” to find out what requirements you need to meet to set up your business. Additionally, you can check your local government website for more information.
For this tutorial I’ll be using Washington State (in the US) as an example. In most cases, your location will follow a similar process so this can give you a good idea of where to look and how to start.
- FILE FEDERALLY: You will need to apply for an EIN from the IRS. Go to www.irs.gov and choose “Apply for an Employer ID Number”. This page will walk you through the different forms you need to complete. The EIN is like the “social security number” for your business. You will use this to complete the taxes for your business. Here you will choose what type of entity you are setting up: (Sole Proprietorship, Partnership, S-Corporation or C-Corporation). They will determine how you pay taxes and how much you pay. There are other entity types based on your state, but the four listed above are the options for how you are taxed federally. Please check with your Accountant to be sure you understand how your specific state law impacts your federal filing requirements. - FILE WITH THE STATE: Use your newly acquired EIN to request a UBI through your Secretary of State. For Washington, that’s sec.wa.gov – but you can just Google “Secretary of State for [insert state]” to find the information for your state. On this site go to “Corporations” and then find your respective type of business – for this example we’ll us an LLC. Under LLC choose “Certificate of Formation” and fill out the respective form. The UBI that you are given is your Business ID (it may be called something different in your state) and will be used for lots of different applications! If you are receiving a business discount from anywhere, this is what they will ask for. This is your certificate of formation which will include your UBI, the state will then send you a State Business License (in some cases requiring an additional form).
- SET UP A BUSINESS BANK ACCOUNT: Use your EIN to set up a business bank account. Though it’s not technically necessary, this is the best practice for keeping your personal and business funds separate. To protect both yourself individually and your business it is recommended to keep your finances separate with a business bank account. This is vitally important for both organizational purposes and legal purposes. Most banking institutions offer this service, so do your research and choose a bank that’s right for you!
- FILE WITH THE CITY: Use your UBI to register with your city for a City Business License. They will also give you a city Business License ID. Depending on your city, you may also owe city taxes.
- YOU ARE NOW A LEGAL BUSINESS!
If you have employees, there are additional items to consider (workers compensation, unemployment, and insurance to name a few) which you can access information for from your government agencies. I won’t be getting into all of that in this tutorial, but your government agencies have tons of resources on this if you need some clarity!
Also, I’d like to note that you may want to (or need to) apply for additional licenses. For example, because I am using materials (fabric, trim, etc.) to create a finished good (clothing) that will then be sold, I am exempt from paying tax on materials that I buy (because the finished good will be taxed). So, I applied for a Reseller Permit. I use this permit with my suppliers who take my permit number to remove any taxation on my purchase of raw materials.
Here’s a breakdown of what it cost me to start my business:
- Certificate of Formation = $200
- State Business License = $25
- SOS (Secretary of State) Initial Report = $30
- City Business License = $150
- Total = $405
Also note that your business bank account will require a lump sum to set up and a minimum balance to maintain. I needed to have at least $3,000 to set up my business bank account and I must maintain a $300 minimum balance to remain active. Each banking institution will be different, so take a look around and see what works best for your budget.
1.2. If you are in UK
If you are in UK, here are a few things to consider:
- Register your small fashion business with Companies House (for limited companies).
- Register your small fashion business with HMRC.
- Trademark your small fashion business.
